1. Services Provided
VM Cloud Labs operates as a technical partner, offering end-to-end solutions spanning hardware, software, and integrated systems. Our primary services include, but are not limited to:
- Digital Infrastructure: Custom Web Application development, E-Commerce solutions, ERP/CRM systems, and AI-Enhanced Digital Experiences.
- STEM & Robotics Solutions: Provision of IoT and robotics project kits, learning curriculums, and lab setup consulting for schools and educational institutions.
- R&D Consulting: Technical architecture, deployment, and scalability consulting.
2. Intellectual Property Rights
Unless otherwise stated, VM Cloud Labs and/or its licensors own the intellectual property rights for all material on this website and proprietary software developed internally. All intellectual property rights are reserved.
For custom enterprise software or white-labeled STEM solutions developed specifically for a client, the transfer of intellectual property rights will be governed by the specific Statement of Work (SOW) or Master Services Agreement (MSA) signed between VM Cloud Labs and the client.
3. Hardware & Physical Goods (STEM Kits)
For clients purchasing physical IoT and Robotics learning kits or engaging us for end-to-end supply and logistics:
- Shipping and Delivery: We manage component sourcing and kit assembly. Delivery timelines are estimates and are subject to third-party logistics.
- Warranties: Hardware components are provided with standard manufacturer warranties unless otherwise specified in your service contract.
4. Client Responsibilities
To ensure practical innovation and client-centric execution, clients agree to:
- Provide timely feedback, access to necessary systems, and accurate project requirements.
- Ensure that any materials, data, or media provided to VM Cloud Labs for development purposes do not infringe on the intellectual property rights of third parties.
5. Confidentiality
VM Cloud Labs handles all client ideas, data, and systems with complete privacy and integrity. Both parties agree to maintain the confidentiality of any proprietary information shared during the course of business, which will be further outlined in a Mutual Non-Disclosure Agreement (NDA) prior to project commencement.
6. Limitation of Liability
In no event shall VM Cloud Labs, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this website or our services, whether such liability is under contract. VM Cloud Labs shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of our services.
7. Governing Law & Jurisdiction
These Terms will be governed by and interpreted in accordance with the laws of India, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Pune, Maharashtra for the resolution of any disputes.
